End User License Agreement

By creating an account, connecting an Amazon advertising or seller account, uploading data, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by this EULA, our Privacy Policy, and our Data Processing Agreement.

If you are accepting this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, "you" and "your" refer to that entity.

Subject to your continuous compliance with this EULA and payment of all applicable fees, BidVentor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes related to managing and optimizing Amazon advertising, listings, and related seller operations.

This license is personal to you (or your authorized organization) and does not transfer any ownership rights in the Service or any BidVentor intellectual property.

You may not, and you agree not to permit any third party to:

• •Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service
• •Rent, lease, sell, sublicense, assign, distribute, or otherwise transfer rights to the Service
• •Use the Service to build a competing product or service
• •Remove, obscure, or alter any proprietary notices
• •Use the Service in any manner that violates applicable law, Amazon's policies, or the rights of any third party
• •Attempt to gain unauthorized access to the Service, other accounts, or BidVentor systems
• •Upload or transmit any malicious code, viruses, or harmful content
• •Use the Service in a way that interferes with or disrupts the integrity or performance of the Service

You are responsible for:

• •Providing accurate, current, and complete registration information
• •Maintaining the confidentiality of your account credentials
• •All activities that occur under your account
• •Promptly notifying us of any unauthorized access or security breach at grow@bidventor.com

You must be at least 18 years old and capable of entering into a binding contract to use the Service.

You retain all ownership rights in the data, content, and materials you submit to or generate through the Service ("Your Data"), including Amazon advertising reports, listing content, and review data.

You grant BidVentor a limited, non-exclusive, worldwide license to use, process, store, and display Your Data solely as necessary to provide and improve the Service for you.

If you connect an Amazon advertising account, Seller Central account, or upload bulk files, you represent and warrant that:

• •You have the legal right and authority to grant BidVentor access to that data
• •Your use of the Service complies with Amazon's terms, policies, and data protection requirements
• •You will not provide BidVentor with data you are not authorized to share

BidVentor processes Amazon data in accordance with our Data Processing Agreement and applicable Amazon data protection policies.

The Service, including all software, algorithms, designs, text, graphics, logos, and other content (excluding Your Data), is owned by BidVentor LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Nothing in this EULA grants you any right to use BidVentor's name, logos, or trademarks without our prior written consent.

Certain features of the Service require payment of fees as described on our pricing page or in your order. Fees are non-refundable except as required by law or as expressly stated in a written performance guarantee or order form.

You authorize BidVentor (or our payment processor) to charge the payment method you provide for all applicable fees. Subscription fees renew automatically until cancelled in accordance with the cancellation terms shown at the time of purchase.

You agree to use the Service only for lawful purposes and in accordance with this EULA. You may not use the Service to:

• •Violate any applicable law or regulation
• •Infringe the intellectual property or privacy rights of others
• •Upload unlawful, deceptive, harmful, or adult content
• •Circumvent any technical limitations or security measures
• •Interfere with the proper functioning of the Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

BidVentor does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any results or recommendations will achieve any particular outcome (including specific ROAS, ACoS, or sales targets), except as expressly stated in a separate written performance guarantee.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIDVENTOR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIDVENTOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA OR THE SERVICE EXCEED THE AMOUNTS YOU PAID TO BIDVENTOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless BidVentor LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• •Your use of the Service
• •Your violation of this EULA
• •Your violation of any third-party rights or applicable law
• •Any content or data you submit

You may stop using the Service and cancel your account at any time.

BidVentor may suspend or terminate your access to the Service immediately if you breach this EULA, fail to pay applicable fees, or if we reasonably believe your use creates risk for BidVentor, other users, or Amazon.

Upon termination:

• •Your license to use the Service ends immediately
• •You must cease all use of the Service
• •BidVentor may delete or retain Your Data in accordance with our Privacy Policy and Data Processing Agreement
• •Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination

We may update this EULA from time to time. When we make material changes, we will post the updated version on this page and update the "Last Updated" date. Your continued use of the Service after the effective date of the revised EULA constitutes acceptance of the changes.

This EULA is governed by the laws of the State of Montana, United States, without regard to conflict of law principles.

Any dispute arising out of or relating to this EULA shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved amicably, it shall be resolved exclusively in the state or federal courts located in Montana, and you consent to the personal jurisdiction of those courts.

• •Entire Agreement. This EULA, together with the Privacy Policy and Data Processing Agreement, constitutes the entire agreement between you and BidVentor regarding the Service and supersedes all prior agreements.
• •Severability. If any provision of this EULA is held unenforceable, the remaining provisions will continue in full force and effect.
• •Waiver. Failure to enforce any provision will not constitute a waiver of that provision or any other provision.
• •Assignment. You may not assign this EULA without our prior written consent. We may assign this EULA without restriction.
• •No Third-Party Beneficiaries. Except as expressly stated, nothing in this EULA creates any third-party beneficiary rights.
• •Force Majeure. Neither party will be liable for any failure or delay due to circumstances beyond its reasonable control.
